Scott Leune Education Sponsorship Terms and Conditions

These Sponsorship Terms and Conditions (“Agreement”) govern the relationship between Scott Leune Education, LLC (“Organizer”) and the entity or individual (“Sponsor”) who agrees to sponsor events, seminars, and/or educational programs organized by Scott Leune Education.

1. Sponsorship Benefits

The Sponsor will receive the benefits outlined in the specific sponsorship package purchased. These benefits may include, but are not limited to:

  • Brand visibility during in-person and virtual events
  • Advertising through emails, podcasts, webinars, and social media
  • Access to event attendee lists
  • Networking opportunities with dental professionals

2. Payment Terms

Sponsorship payments are due on the 1st of every month and will be automatically charged or debited from the payment method provided by the Sponsor during sign-up. All payments are non-refundable once received. Failure to make payment may result in forfeiture of sponsorship benefits. If a payment is missed or cannot be processed, the Organizer reserves the right to suspend or terminate the sponsorship agreement.

3. Term and Termination

This Agreement will commence on the date the Sponsor signs the agreement and will continue through the end of the agreed sponsorship period. Either party may terminate the agreement with 30 days’ written notice. In the event of termination by the Sponsor, no refund will be provided. The Organizer reserves the right to terminate the Agreement if the Sponsor fails to comply with these terms.

4. Use of Sponsor’s Name, Logo, and Likeness

By entering into this Agreement, the Sponsor grants the Organizer and its affiliate partners the right to use the Sponsor’s company name, logo, and the names, images, and likenesses of its employees obtained during sponsored events for promotional purposes. This includes, but is not limited to, the use in marketing materials, websites, social media, podcasts, and webinars to promote Scott Leune Education and its affiliate partners. Sponsor consents to such use without further approval or compensation.

5. Sponsor Obligations

The Sponsor agrees to:

  • Provide content for sponsored sessions, webinars, or ads as required.
  • Adhere to deadlines for submission of materials.
  • Participate in events, where applicable, according to the schedule provided by the Organizer.

6. Intellectual Property & Content Reproduction

All intellectual property rights related to content created by the Organizer, including but not limited to event content, materials, and recordings, remain the sole property of Scott Leune Education, LLC. The reproduction, dissemination, or distribution of Scott Leune Education’s content—including, but not limited to, video recordings, seminar materials, podcasts, webinars, and digital content—by the Sponsor or any third party is strictly prohibited without the express written consent of Scott Leune Education, LLC.

7. Cancellation or Rescheduling of Events

The Organizer reserves the right to cancel or reschedule events at its discretion. In the event of cancellation, the Organizer will make reasonable efforts to provide alternative sponsorship opportunities or issue a pro-rated refund if an alternative is not available.

8. Compliance with Laws

Both the Organizer and the Sponsor agree to comply with all applicable laws, regulations, and codes of conduct throughout the sponsorship term.

9. Limitation of Liability

The Organizer’s total liability to the Sponsor for any claim arising out of or in connection with this Agreement shall not exceed the amount paid by the Sponsor under the applicable sponsorship package. The Organizer is not liable for indirect, incidental, or consequential damages.

10. Confidentiality

The Sponsor agrees to keep all information disclosed by the Organizer that is marked confidential or is reasonably understood to be confidential in nature strictly confidential and not to disclose such information to any third party without written consent from the Organizer.

11. Force Majeure

Neither party shall be liable for failure to fulfill obligations under this Agreement if such failure is due to causes beyond its control, including but not limited to acts of God, war, terrorism, government action, strikes, or pandemics.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the state of Texas, without regard to its conflict of law provisions.

13. Amendments

Any amendments to this Agreement must be made in writing and signed by both parties.

By signing this Agreement, the Sponsor acknowledges that they have read and agree to the terms and conditions outlined above, including consent for the use of their company name, logo, and employee likenesses in promotional materials, the automatic monthly payment terms, and the restriction on content reproduction without express written consent.
